1. Scope and Acceptance
These Terms of Service govern your use of RoadRun's websites, mobile applications, booking tools, communications, and related services (collectively, the "Services"). RoadRun provides a technology platform that helps connect clients with independent mobile service providers, organizations, and Runners.
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
2. Eligibility and Accounts
You must be at least 18 years old and legally able to enter into binding agreements to use the Services. You are responsible for maintaining accurate account information, protecting your password and devices, and all activity that occurs under your account unless you promptly notify RoadRun of unauthorized use.
3. Permitted Use
You may use RoadRun only for lawful, authorized platform activity. You may not:
- Provide false information or impersonate another person or business.
- Bypass RoadRun scheduling, checkout, payout, routing, or communication systems.
- Scrape, reverse engineer, copy, republish, or commercially exploit platform data or content without permission.
- Use the Services for harassment, fraud, spam, unsafe conduct, intellectual property infringement, or other unlawful acts.
4. Client Responsibilities
Clients must provide accurate booking, address, contact, and payment details. Clients are responsible for:
- Being available at the scheduled time and location.
- Maintaining a safe service environment.
- Paying all authorized charges, fees, taxes, cancellation charges, and damage or dispute-related amounts where applicable.
- Using RoadRun rather than off-platform workarounds for booked services unless RoadRun expressly permits otherwise.
5. Provider and Organization Responsibilities
Providers and organizations are independent businesses or contractors, not employees of RoadRun. They are responsible for their own licenses, permits, insurance, tax obligations, employment practices, service compliance, and local legal requirements. They must keep their availability, service areas, credentials, payout onboarding status, and organization details accurate.
6. Third-Party Content, Uploaded Media, and Content Rights
The Services may display or access third-party content, including maps, routing information, geocoding data, media, logos, photos, reviews, service descriptions, profile images, chat attachments, and booking photos. You represent and warrant that you own or have all rights necessary to upload, submit, display, share, or authorize use of any content you provide through RoadRun.
By submitting content, you grant RoadRun a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, transmit, process, moderate, and use that content as needed to operate, support, secure, document, improve, and promote the Services. RoadRun may remove content that violates law, policy, third-party rights, or platform standards.
7. Maps, Geocoding, and Third-Party Services
RoadRun uses third-party providers for maps, geocoding, payment processing, cloud hosting, communications, and related infrastructure. Map tiles, routing, address data, and similar materials may remain subject to the rights and terms of those third parties. You agree not to copy or misuse RoadRun or third-party content beyond permitted use of the Services.
8. Payments, Processing, and Payouts
RoadRun facilitates payment collection through third-party payment processors such as Stripe; the provider remains responsible for the underlying services. Clients authorize RoadRun and its processors to charge the payment method provided for booked services, applicable taxes, platform fees, cancellation or no-show charges, refund offsets, and other authorized amounts.
Provider and organization payouts are governed by separate onboarding, payout, or commercial terms. RoadRun may delay or hold transfers until booking completion, payout onboarding approval, fraud review, dispute resolution, reserve requirements, or the next scheduled payout batch.
9. Cancellations, Refunds, and Disputes
Booking changes, cancellations, refunds, and credits are subject to RoadRun policies and any disclosed cancellation windows. RoadRun may investigate disputes, chargebacks, fraud claims, provider no-shows, client no-shows, and quality complaints, and may adjust or withhold payments or payouts while those issues are reviewed.
10. Communications and SMS
By using RoadRun, you consent to receive transactional and service-related communications by email, push notification, and in-app message. If you separately opt in to SMS, RoadRun may also send booking confirmations, booking status updates, provider arrival alerts, scheduling changes, and payment notifications by text message.
SMS Program: RoadRun SMS notifications. Message frequency varies based on booking activity. Message and data rates may apply. SMS consent is optional and is not a condition of purchase. For help, reply HELP, visit Contact Us, or email [email protected]. To opt out of SMS, reply STOP to any message. You will receive a one-time confirmation and no further SMS will be sent. You may re-subscribe at any time by replying START. Opting out of SMS does not affect in-app push notifications or email communications, and will not prevent us from delivering critical account and security notifications through other channels.
11. Location-Based Features
Some RoadRun features rely on precise or approximate location, including search results, route planning, arrival estimates, service area matching, and provider tracking. If you use the provider app, RoadRun may also process precise and, where permitted, background location data during scheduled work periods, instant booking availability, or active bookings.
12. Privacy
Your use of the Services is also governed by the RoadRun Privacy Policy. RoadRun may collect account details, booking records, uploaded media, communications, payment and payout onboarding information, device data, and precise or approximate location information as described in that Privacy Policy.
13. Intellectual Property
RoadRun and its licensors own the Services, software, trademarks, branding, designs, and related content except for user-generated content and third-party materials. Except as expressly permitted, you may not copy, modify, distribute, sell, sublicense, or create derivative works from RoadRun property.
14. Disclaimers
RoadRun provides a technology platform and does not guarantee uninterrupted operation, booking volume, provider availability, service quality, or outcomes. Providers and organizations are independent parties, and RoadRun does not supervise or control their work beyond the platform rules and workflows it chooses to offer.
15. Limitation of Liability
To the fullest extent permitted by law, RoadRun is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business opportunity arising from or related to the Services. RoadRun's aggregate liability will not exceed the amounts paid to RoadRun through the Services by the claimant in the six months preceding the event giving rise to the claim.
16. Indemnification
You agree to defend, indemnify, and hold harmless RoadRun and its affiliates, officers, directors, employees, contractors, and agents against claims, liabilities, damages, losses, and expenses arising from your account, your services, your uploaded content, your organization, your legal non-compliance, or your violation of these Terms.
17. Dispute Resolution
To the fullest extent permitted by law, disputes with RoadRun will be resolved through binding individual arbitration and not through class or representative proceedings, unless applicable law requires otherwise. Any arbitration or legal proceeding must be brought on an individual basis.
18. Changes to the Services or Terms
RoadRun may modify the Services, pricing, payout processes, supported integrations, or these Terms at any time. Updated Terms become effective when posted or otherwise communicated. Your continued use of the Services after an update means you accept the revised Terms to the extent allowed by law.
